General: 1.1. This Website is operated by HD Pro Sales (HD) which is a division of Marquee Installations Ltd. As user of this website you acknowledge that any use of this website including any transactions you make is subject to these terms and conditions. 1.2. HD may vary or change these terms and conditions at any time and such changes will take effect when posted on the website and it is your responsibility to read the terms and conditions on each occasion you use the website and your continuing use of the website shall signify your acceptance of such terms and conditions. 1.3. If you are not a consumer you confirm that you have authority to bind any business on whose behalf you use this website. 1.4. Certain website services may require registration. Subsequent access to those services is subject to an approved login name and password (Password Details). Information that you provide on this website must be accurate and complete. All Password Details are accepted and may be withdrawn at HD’s sole discretion and are exclusive to you and non-transferable and must be treated as strictly confidential at all times. In the event that you have any concerns regarding your Password Details or become aware of any misuse then you must inform HD immediately. You will be responsible for all loss costs and damages by HD or any bona fide customer of HD in respect of any HD’s use of your Password Details. 1.5. This website is intended only for the use o business users. The products and services offered on this website are only offered to customers who buy such products in the normal course of their business. To that extent, no products will be sold to any customer who is not a business and accordingly the terms of the Distance Selling Regulations do not apply and are specifically excluded in the terms and conditions of sale.
Order Processing: 2.1. Elsewhere in this website you will find information on delivery and how to make an order. All orders and deliveries are subject to following the terms of these instructions and HD will not be liable if they are not followed. 2.2. The final stages of your order is made in the confirmation stage. Following this we will acknowledge your order by email. This is not an order confirmation or an acceptance of your order by HD. 2.3. Your order will be accepted by the dispatch to you of the products ordered unless HD have notified you that we do not accept your order or you have cancelled it. On dispatch the contract will be completed.
Delivery: 3.1. All goods must be signed for when delivered by an adult over 18 years of age. 3.2. HD takes every care to deliver goods within a reasonable timescale however delays are occasionally experienced due to unforeseen circumstances. HD can accept no liability in respect of failure to deliver within any estimated timescale. 3.3. Risk of loss and damage passes to you on the date and time of the delivery or attempted first delivery to you. 3.4. Title to the goods will pass to you on delivery where full payment has been received by HD. 3.5. Delivery Free of Charge to UK Mainland 3.6. Please contact us for a delivery price if you require delivery to Ireland, Scottish Highlands, Channel Islands, Isle of Wight, Europe or outside Europe. 3.7. Orders placed before 2pm Monday to Friday (excluding bank holidays and public holidays) will normally be despatched the same day using our standard delivery service which is Next Working Day (subject to stock availability and delivery option selected). We always aim to process your order as swiftly as possible. Orders received after 2pm will be processed the following day, or on a Monday if ordered after 2pm on a Friday or Bank Holiday (subject to stock availability). 3.8. You can choose to select the option to collect your order in person when ordering online. Orders can be collected from our premises at Unit 6 Eversley Way, Thorpe Industrial Estate, Egham, Surrey, TW20 8RG. However, we do ask that you contact us by phone to arrange a suitable time between 9.30am and 4.30pm Monday to Friday, and proof of purchase will be required upon collection. 3.9. Our orders are despatched using a Next Day Courier Delivery Service. All orders require a signature on delivery. If there is no one available on delivery to sign for the parcel, a card will be left and the goods will be returned to the local Courier Depot for collection. 3.10. There may be occasions when products are out of stock and are not available for despatch, or unavailable to purchase. 3.11. Should an item be out of stock at the time of placing the order, we will contact you as soon as possible either by phone or by email advising you and giving you the estimated delivery date so you can decide whether to wait for the item to be sent to you or alternatively to cancel your order, in accordance with our cancellation policy. 3.12. If part of your order is out of stock, and you have confirmed you would like to wait for the item to become available again, we will part ship your order to you. If you would like to check availability before you place your order, you can contact us either by phone or email.
Payment: 4.1. We accept payment by credit or debit card (collectively called ‘card’ hereafter) or by Pay Pal. In the event that you pay by Pay Pal you must adhere to all conditions imposed by this payment system. 4.2. We will take payment from your card at the time we receive your order after details have been checked and stocks ascertained. In the event that the goods are unavailable HD will inform you as soon as possible and a refund given in the event that they have been paid for. 4.3. The price payable for goods is as displayed at the time of your purchase unless the goods are not for immediate delivery when the price payable will be at the time of dispatch. HD have not experienced errors in the pricing set out on the website, nevertheless, these may rarely occur. If an error is detected HD will inform you as soon as possible and ask you to confirm your order at the correct price or to cancel it. If HD cannot contact you it will have to treat your order as cancelled and in any case where HD has cancelled orders previously paid for, HD will refund the sums paid. 4.4. All prices mentioned on the website are in pounds sterling and subject to VAT where applicable at the current rates. Delivery costs are not included and these will be set out when delivery is specified. 4.5. In the event that you make payment by card or Pay Pal and you later request refund for any reason HD will, if the request is granted, be entitled to deduct from such refund all legitimate expenses incurred including commission charged to HD by your card issuer or commission payable by the Pay Pal system. 4.6. In some cases, and entirely at the discretion of HD, a 30 day credit account may be opened. If this type of account is offered by HD, then a Customer Application Form and additional set of Terms & Conditions must be completed and signed by the Customer.
Returns Policy: 5.1 30 Day Money Back Guarantee - HD Pro Sales (HD) prides itself in providing innovative, exciting and fully functional hardware and software as set out elsewhere in this website. HD is confident that all products sold through the website are of fine quality and will meet all your expectations. 5.2 If you wish to return an item, please keep your order number which is on your order confirmation and any delivery packaging as you may be asked for this as proof of purchase if you make a query. 5.3 Most things we sell are covered by our 30 day money back guarantee. If you would like to return an item under our 30 day money back guarantee, please contact us by phone or email in the first instance. Items that have had the packaging opened or seals broken can only be returned if the item is faulty. When returning items under the terms of our 30 day money back guarantee, you will be responsible for the cost of returning the item to us. If you were charged delivery by us to deliver the item to you, this will not be refunded. 5.4 Our 30 day money back guarantee does not affect your statutory rights.
Faulty Items: 6.1 In the unlikely event that an item is faulty, please contact us by phone within 7 days of receipt of your order and we will either arrange for a replacement item to be sent to you, or alternatively offer you a full refund in addition to the standard delivery charge incurred in sending the item to you if applicable, and refund you the cost of returning it to us. 6.2 Please note HD Pro Sales will not despatch any replacement item until the damaged/faulty item has been returned and received by us. It is our policy to check all items returned as damaged or defective. In the event that we find no fault/damage, or conclude that the fault/damage is caused by misuse, accidental damage, neglect or is inadequately packed upon its return to us, we reserve the right to refuse any refund for the item. 6.3 If you’ve had the product for up to one year, subject to the manufacturer’s guarantee we’ll repair the product or in accordance with the usual manufacturer’s guarantee if that’s not possible, give you a replacement or if that’s not possible, give you a refund. This will be done within 30 days of our receipt of the faulty goods. 6.4 This policy does not affect your statutory rights.
Cancellations: 7.1 In the event of any order being cancelled by the Customer prior to delivery of Goods in whole or in part, HD reserves the right to invoice or otherwise hold the Customer liable for any losses incurred including loss of profit charges for carriage, freight insurance, handling and re-stocking charges.
Export Sales: 8.1 The Customer warrants to HD that it is entitled to import the Goods to the country or territory of its direction without licence or other authority and without imposing any obligation or liability upon HD. 8.2 The Customer shall be solely responsible for complying with any legislation or regulations governing the importation of Goods to the country or territory of its direction and the transit thereto and for payment of any duties, taxes or other impositions thereon. 8.3 If export licences from England are required or import licences to the country or territory of the Customer’s direction or the transit thereto are required the Customer shall be responsible for obtaining the same with such assistance from HD as it may reasonably subject to, paying such reasonable charges as HD may require for time expended and any other costs and disbursements incurred.
Liability and Warranties: 9.1 All sizes and measurements are approximate 9.2 Nothing in these terms shall exclude or limit liability for death or personal injury caused by negligence or fraudulent misrepresentation or any liability that may not by law be limited or excluded. 9.3 HD will use its reasonable endeavours to verify the information on this website but makes no representation or warranty express or implied or otherwise, regarding the contents of this website, or that it will be timely or error free, that defects will be corrected or that the site or the server that makes it available are free of viruses or bugs or represents the full functionality, accuracy or reliability of the website. HD will not be responsible or liable to you for any loss of content or material uploaded or transmitted through the website and HD accepts no liability of any kind for any loss or damage from action taken in reliance on material or information contained on the website. 9.4 Subject to the conditions set out below HD warrants that the goods will correspond with their specification at the time of delivery. 9.5 For the avoidance of any doubt to the fullest extent permitted by law without prejudice to the generality of any other exclusions contained in this clause, HD shall be under no liability in respect of any defect arising from fair wear and tear, wilful damage, negligence, abnormal working conditions, failure to follow HD instructions (whether oral or in writing), misuse or alteration or repair of the goods without HD's approval. 9.6 Subject to clause 5.2 above other than as expressly provided in these terms and conditions any indemnities, warranties, terms and conditions (whether express or implied) are hereby excluded to the fullest extent permitted by law. 9.7 Subject to Clause 5.2 above HD will not be liable in contract tort (including without limitation negligence) precontract or other representations (other than fraudulent or negligent misrepresentation) or otherwise out of or in connection with the terms and conditions or any economic losses (including without limitation loss of revenue, data, profits, contracts, business or anticipated savings) or loss of goodwill or reputation or special or indirect losses or consequential losses or such suffered or incurred by that party arising out of or in connection with the provisions of any matter under these terms and conditions. 9.8 HD’s aggregate liability (whether under contract tort or otherwise) for loss or damage shall in any event be limited to a sum equal to the amount paid or payable by you for the products in respect of one incident or a series of incidents. 9.9 Nothing contained herein affects your statutory rights as a consumer. 9.10 HD will take all reasonable precautions to keep details of your order and payment secure but HD will not be responsible for loss or damage caused as a result of unauthorised access to the information provided by you.
Intellectual Property: 10.1 You acknowledge and agree that all copyright trademarks and other intellectual property rights in all materials and or content or product made available as part of your use of this website shall remain at all times vested in HD or HD’s licensor. You are permitted to use this material only as expressly authorised by us or our licensors. 10.2 You acknowledge and agree that the material and content contained within this website or any products supplied under the terms and conditions of this website are for your personal non commercial use only and that you may only download such material and content for the purpose of using the website or the products supplied. You further acknowledge and agree that any other use of the material or products is strictly prohibited and you agree not to (or assist or facilitate any third party to) copy, reproduce, transmit, publish, display, distribute, commercially exploit or create derivative works of such material or content.
Additional Points: 11.1 You must satisfy yourself that the goods you order are fit for the purpose for which you intend to use them. As HD is unaware of your purpose it cannot be held responsible for failure to fit any particular use other than those required under relevant consumer protection legislation. Where you decide to use the products in the course of a business or profession we exclude (to the fullest extent permitted by law) those warranties and conditions relating to fitness for a particular purpose. 11.2 HD shall be under no liability for any delay or failure to deliver products or otherwise perform any obligation as specified in these terms and conditions if the same is wholly or partly caused whether directly or indirectly by circumstances beyond its reasonable control. 11.3 You agree not to attempt to gain unauthorised access or in any way attempt unauthorised interference of this website, whether or not using any legitimate or illegitimate techniques or programmes and in the event HD detects or believes it has detected such use, HD may take such action as it sees fit to protect the website and compensate HD for any costs or damages incurred, including but not limited to prohibition of your use of the website. 11.4 In the event that this website provides links to other websites or resources for your added convenience you hereby acknowledge that your use of such links or recourse is entirely at your own risk and no responsibility whatsoever will attach to HD for providing them. 11.5 You may not assign or sub contract any of your rights or obligations under these terms and conditions or any related order or products to any third party unless agreed in writing by HD 11.6 HD reserves the right to transfer, assign, novate or sub contract the benefit of the whole or part of any of its rights or obligations under these terms and conditions to any third party. 11.7 If any of these terms and conditions is held to be invalid or unenforceable by any competent authority in whole or in part the validity or enforceability of the other clauses or parts of these terms and conditions shall not be affected. 11.8 No delay or failure by HD to exercise any powers, rights or remedies under these terms and conditions will operate as a waiver of them nor will any single or partial exercise of any such powers rights or remedies preclude any other or further exercise of them. 11.9 Any contract arising from use of this website shall be governed by the law of England and any dispute will be resolved exclusively in the courts or jurisdiction of England.
Definitions: 12.1 ‘you’ shall mean any person, firm or company seeking to undertake any contract or dealing with HD under these terms and conditions. 12.2 ‘HD’ shall mean Marquee Installations Ltd whose registered office is situated at Unit 6, Eversley Way, Thorpe Industrial Estate, Egham, Surrey TW20 8RG trading as HD Pro Sales 12.3 ‘goods’ shall mean any product of any kind whatsoever which is sought to be the subject of a contract between you and HD 12.4 ‘contract’ means the contract for the purchase, sale or supply of goods. 12.5 ‘terms and conditions’ shall mean these terms and conditions set out above. 12.6 ‘website’ shall mean the electronically transmitted pages maintained by HD for the purpose of conducting business.
